Xin chào các bạn, lần thứ 2 mình gửi bài nên chưa rành chủ đề mình gửi ở topic nào, nếu có sai xin mod chuyển dùm mình
Hiện tại mình dang họp tác với bạn ở nước ngoài để mở 1 cửa hàng kinh doanh, mình cần hợp đồng thuê mặt bằng bằng tiếng anh, có chi tiết đầy đủ, bạn nào có biết thì xin giúp dùm mình hay chỉ cách mình thực hiện, chân thành cám ơn tất cả anh em trong forum này . Cám ơn các bạn đã xem tin

cái này thì đâu có khó lắm đâu bạn. Bạn chỉ cần soạn thảo hợp đồng bằng tiếng Việt rồi nhờ người dịch qua tiếng anh là xong thoi mà.

Cám ơn bạn đã quan tâm, nhưng mình muốn có nhiều ý kiến đóng góp của các bạn trong diễn đàn hơn là những thứ khác

Hereafter referred as “ The Lessee”
Article 01: The premises to be rented

The Lessor agrees to rent to Lessee 02 rooms on second floor with total area of 55 square meters of the building Dana & Fellow , located at 385 Tran Hung Dao Street, District 01, HCMC. The place consists of 02 air-con rooms and toilet.

An inventory of fixture of the rented rooms and equipment shall be made approved by both parties and attached to this contract.


Article 02: Rent and Mode of Payment

The monthly rent shall be USD 500 (Five hundred US dollar only).

Monthly rental shall be paid by Lessee to Lessor on the fifth of every month until the term is ended

Article 03: Included

The Lessee can use two air-conditions and 05 computers without charge of power in 08 working hours.
Water for washing or else
24 hours security
Parking lot for bike or motor bikes
08 hours per month using conference room on fifth floor
Government tax

Article 04: Duration

The term of this lease shall be 12 months from Feb 01, 2007
The Lessee agrees to occupy the rooms for minimum 12 months except in case of following points:
- No respect by the Lessor of any article of this contract
- If informed by the Lessee of a structure damages, Lessor’s not taking appropriate action
- Major modification of the environment

Article 05: Purpose

Lessee shall use two rooms for office purpose only.
Lessee can design the office with favor style and decoration, not changing basic structure of the house.

Article 06: Lessor’s Liabilities


Hand over the rooms to Lessee on the day of validity of the contract
Give all the key of the room to Lessee
When notified by the Lessee of a malfunction into the house equipment or structure damages, take immediate appropriate action
During the length of lease, Lessor will be responsible for the operation of water supply and sewerage system related to the building at Lessor’s expenses.
Article 07: Lessee’s Liabilities


Pay rent on time, as stipulated by article 02.
Use the room in keeping with the content of contract and eventually on handing back the rooms, ensure that the rooms with its utilities and equipments are in good condition as when leased and as fixture inventory, given a normal wear-and tear margin
No right to cede the renting contract or re-let the rooms without prior written agreement by Lessor . In case of termination of contract sooner than schedule, Lessee has to notify the Lessor at least one month in advance.
Register with local authority about status of company and office.
Lessee will install equipment for office use as telephone, fax, ADSL…
Article 08: Deposit and Indemnity

The Lessee promises to rent the rooms for 12 months from date Feb 01, 2007 and agree to pay the amount 1,500 US dollar ( One thousand and five hundred US dollar only) as the deposit for the lease.

This deposit will be returned when contract is ended
This deposit will NOT be refunded to the Lessee if the lease terminated before Jan 31, 2008 for any reasons except those mentioned in article 09.
Article 09: General Regulation


Every change or amendment to this contract will be agreed upon by both parties and done consequently in writing
On the expiry of the lease, both parties may agree to further extend its validity or sign a new lease
This lease contract is made in 04 English copies, each retain 02 copies
The contract is to be terminated without notice in each the following cases:
- The house is demolished or taken to pieces on decision of competent authorities
- Lessee re-let the rooms without authorization or is deported by the Government of Vietnam.

This lease contract shall be governed by and construed in accordance with the laws of Vietnam
All dispute arising between the parties concerned, out of or relation to the lease shall be finally settled by the competent local court having jurisdiction over Lessor
Other services provide by Lessor or made available in connection with this lease shall be referred to the individual agreement or contract for such services, as the case may be.
THIS MOMORANDUM OF LEASE IS VALID FROM DEC 15, 2006
